Boards, Committees and Executive Board

Governance agents are responsible for ensuring that Corsan complies with its principles and values, reflected in policies, procedures, internal rules, laws and regulatory provisions to which the Company is subject. Corsan’s Corporate Governance structure comprises:

Board of Directors

Forum for strategic deliberation, responsible for establishing Corsan’s strategic planning, defining guidelines, appointing and monitoring the performance of the Executive Board. It is responsible for determining the implementation and supervising risk management and internal control systems, in addition to approving and monitoring decisions involving corporate governance practices, relationship with stakeholders and the Code of Ethics and Conduct.

Órgão colegiado de deliberação estratégica, responsável por fixar o planejamento estratégico da Corsan, definindo diretrizes, nomeando e acompanhando o desempenho da Diretoria Colegiada. É responsável por determinar a implantação e supervisionar os sistemas de gestão de riscos e de controle interno, além de  aprovar e monitorar decisões envolvendo práticas de governança corporativa, relacionamento com partes interessadas e Código de Ética e Conduta.

Mario Engler Pinto Filho (Chairman of the Board of Directors)

Mr. Mario Engler Pinto Junior is a professor at the São Paulo Law School, part of the  Getúlio Vargas Foundation (FGV Direito SP), and coordinator of a professional master’s program at the same institution. He graduated in Law from the University of São Paulo in 1979, having later obtained a PhD degree in Commercial Law from FGV. He spent 40 years as a lawyer and 30 years as a State Attorney, advising the Government of São Paulo on matters related to privatizations, corporate reorganizations, public finance, structured operations, capital markets and infrastructure projects. He was the Chief Executive Officer of Companhia Paulista de Partnerships (CPP), where he continues to work as a member of the Board of Directors. He is also chairman of the Board of Directors at Companhia de Saneamento Basico do Estado de São Paulo – SABESP, and member of the Council for the Defense of the State of São Paulo’s Capital (CODEC). Furthermore, he is arbitrator at B3’s Market Arbitration Chamber and has participated in more than a dozen arbitrations on corporate disputes, infrastructure projects, construction contracts and M&As, some of them involving public sector entities. His book: “State Enterprise: Economic Function and Societary Dilemmas” is in its second edition.

Karla Bertocco Trindade

Mrs. Karla Bertocco Trindade holds Bachelor’s degrees in Public Administration from Fundação Getúlio Vargas (1998), and in Law from the Pontifical Catholic University of São Paulo (2003). She also holds a MBA degree in Administrative Law and Regulated Sectors from the Fundação Getúlio Vargas Law School (2007).

Complementary experiences: Foundations of Exponential Thinking and Practicing Exponential Foresight, online modules from Singularity University (2019); member of the working group responsible for the “Agile Governance” White Paper of the World Economic Forum on new public policies in the context of the Fourth Industrial Revolution (2018); member of the team awarded with the Transparency Award and with the Best PPP Unit Award (PPP Awards) (2017); IFC Training on PPPs in Infrastructure, Executive Education/Harvard Kennedy School (2016); selected to integrate the “International Leaders Programme” promoted by the British Government (2-week mission focused on PPPs) (2016); and selected for a 4-month internship at the EPA – Environmental Protection Agency, Chicago office, in the water quality department (2004).

Mrs. Bertocco Trindade was Government and Infrastructure Director at BNDES (01/2019 to 08/2019); CEO of SABESP (04/2018 to 12/2018); Undersecretary for Partnerships and Innovation at the São Paulo State Government (2015 to 2018); Director-General of the Regulatory Agency for Delegated Public Transport Services of the State of São Paulo – ARTESP (2011 to 2015); Director of Institutional Relations at the Sanitation and Energy Regulatory Agency of the State of São Paulo – ARSESP (2008 to 2010); State Sanitation Coordinator at ARSESP (2007); and Advisor to the Presidency at SABESP (2003 to 2006).

Juliano Heinen

Mr. Juliano Heinen holds a Bachelor’s degree in Law from the University of Santa Catarina (2004); a Master’s degree in Law University of Santa Catarina (2008); and a PhD degree in Law from the Federal University of Rio Grande do Sul (2019). He served as a lawyer and Public Defender; and as Researcher at the National School of Public Administration with focus on Basic Sanitation. He is a referenced author, Professor of Administrative Law (Graduate and Post-Graduate) and Attorney of the State Government of Rio Grande do Sul.

Roberto Correa Barbuti

Mr. Roberto Correa Barbuti holds a Bachelor’s degree in Administration with a focus on Public Administration, from the São Paulo School of Business Administration – FGV; a Bachelor’s degree in Law with a focus on business, from the University of São Paulo Law School; and a MBA degree in Finance and Entrepreneurship from INSEAD – Fontainebleau, France.

Mr. Barbuti is a Senior Consultant and Board Member certified by the IBGC/CCI since January/2019. He was Head of Investment Banking Origination at Banco Safra (March/2015 to February/2018); Co-head of Brazilian Investment at Bank of America Merrill Lynch (July/2011 to January/2015); Head of Corporate Finance at Santander Global Bank (February/2007 to July/2011); Managing Director at UBS Investment Bank/UBS Pactual (June/1997 to February/2007); Associate at IVP (August/1995 to June/1997); Associate at Banco Patrimônio (1992 to 1994); and Business Analyst at McKinsey & Co (1990 to 1992).

Other certifications/courses: OXFORD/SAID BUSINESS SCHOOL–Oxford Blockchain Strategy Program (2018); CVM – Portfolio Manager (2009); OAB/SP – Bar Examination/Lawyer (1992).

Henrique Zandoná

Mr. Henrique Zandoná is a lawyer graduated in Legal and Social Sciences from Universidade de Passo Fundo (2009), specialist in Public Law from the  Law School of the Public Prosecutor’s Office (FMP/RS) (2013). He is State Attorney of the State Government of Rio Grande do Sul since 2013. He is now Coordinator of the State Attorney General’s Office and Media Coordinator of the State Attorney General’s Office. He served from 2016 to 2018 as Assistant Secretary of the Secretary of Communication of the State Government of Rio Grande do Sul.
